Terms & Conditions

Effective / Last Updated: September 21, 2026 • IA Webtech Governance & Compliance

These Terms and Conditions (“Terms”, “Agreement”) govern the commercial relationship, SaaS platform licensing, custom software engineering engagements, and Service Level Agreements (SLAs) between IA Webtech and our commercial clients, enterprise subscribers, and partners.

1. Legal Entity & Acceptance of Terms

This Agreement is entered into by and between IA Webtech (Idea To Advance Web Technologies) (“Company”, “we”, “us”, “our”), having its registered corporate office at J1001, Sidhartha NCR One, Sector 95, Gurugram 122505, Haryana, India, and the commercial client, organization, or individual (“Client”, “Subscriber”, “you”, “your”) accessing or utilizing our services.

By accessing our digital properties, registering an account, activating a Software-as-a-Service (SaaS) subscription, submitting payment via an authorized payment gateway, or executing a Statement of Work (SOW) or Master Services Agreement (MSA), you represent that you have legal authority to bind your organization and agree to be bound by these Terms.

2. Scope of Services

IA Webtech provides enterprise digital products and professional engineering services across two primary operational domains:

  • Cloud Software-as-a-Service (SaaS) Platforms: Multi-tenant, cloud-hosted, and offline-first business management software, including BolkarBIZ (Retail, Wholesale & Inventory ERP with offline-first billing synchronization), IA BizSoft (Enterprise Business Management Suite), eSchool (Institutional & School Management System), and Laundry Management ERP, together with associated APIs, documentation, and mobile applications.
  • Custom Software Engineering & Technical Consulting: Bespoke web and mobile application engineering, enterprise modernization, cloud architecture, DevOps automation, AI systems integration (RAG, autonomous agents, and private AI deployments), executed under individual Statements of Work (SOW) or Master Services Agreements (MSA).

3. Account Registration, Credentials & Permitted Use

3.1 Account Creation and Authority

To access our SaaS platforms or client collaboration portals, you must register an account by providing accurate, complete, and verifiable organizational information. You warrant that all information provided during registration and billing onboarding is true and up to date.

3.2 Credential Security & Tenant Administration

You are solely responsible for maintaining the confidentiality of administrative credentials, API keys, and user logins associated with your tenant partition. You agree to immediately notify IA Webtech at security@iawebtech.com upon discovering any unauthorized access, credential compromise, or security breach. IA Webtech cannot and will not be liable for losses resulting from unauthorized account access where credentials were compromised on the client’s end.

3.3 Acceptable Use Restrictions

You agree to use our platforms and deliverables strictly for lawful commercial purposes. You shall not, directly or indirectly:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or database schemas of any IA Webtech SaaS platform or proprietary software component;
  • Sublicense, resell, rent, lease, distribute, or operate a service bureau using IA Webtech software without explicit prior written authorization;
  • Introduce viruses, worms, trojans, ransomware, or any other malicious or technologically harmful code into our infrastructure;
  • Perform unauthorized penetration testing, vulnerability scanning, denial-of-service simulations, or security audits without prior written consent and formal scheduling;
  • Transmit or store data that is unlawful, defamatory, infringing on intellectual property, or in violation of statutory privacy regulations (including the Digital Personal Data Protection Act, 2023).

4. Cloud SaaS Subscriptions, Licensing & Billing Terms

Governing BolkarBIZ, IA BizSoft, eSchool, Laundry ERP, and hosted enterprise platforms.

4.1 Subscription License Grant

Subject to timely payment of applicable subscription fees and continuous compliance with these Terms, IA Webtech grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the subscribed SaaS platform for your internal business operations during the active subscription term.

4.2 Offline-First Architecture & Local Licensing (BolkarBIZ)

For software products featuring offline-first architectures (such as BolkarBIZ POS and inventory systems), IA Webtech grants a limited local software license to execute the application on authorized physical point-of-sale terminals or desktop hardware. Local transactional databases synchronize with our cloud infrastructure via encrypted API channels once network connectivity is established. Tampering with local licensing verification mechanisms or cryptographic tokens constitutes an immediate material breach.

4.3 Billing Cycles & Auto-Renewal

  • SaaS subscriptions are billed in advance on recurring cycles (monthly, annually, or multi-year terms as selected during registration or order execution).
  • Subscriptions automatically renew at the conclusion of each billing cycle unless the Subscriber opts out or disables auto-renewal prior to the renewal date via the account portal or by written notice to billing@iawebtech.com.

4.4 Non-Refundability of Subscription Fees

  • All SaaS subscription fees are strictly non-refundable. In alignment with our published Refund & Cancellation Policy, cloud infrastructure, dedicated database partitions, SSL/TLS certificates, and compute capacity are provisioned immediately upon transaction authorization.
  • No refunds, credits, or prorated adjustments are issued for partial billing periods, unused user seats, mid-cycle downgrades, or early account terminations.

5. Custom Engineering Services, Statements of Work & Deliverables

Governing bespoke software development, modernization, cloud consulting, and AI implementations.

5.1 Statements of Work (SOW) & Precedence

Custom engineering engagements are executed under individual Statements of Work (SOW) or Master Services Agreements (MSA) defining project scope, technical specifications, milestones, deliverables, timelines, and financial schedules. In the event of a conflict between an executed SOW and these general Terms, the specific terms of the SOW shall govern for that specific project.

5.2 Milestone Delivery & Acceptance Period

  • Upon delivery of each milestone deliverable, the Client shall have a review period of ten (10) business days (or such period specified in the SOW) to perform acceptance testing against agreed technical specifications.
  • If the deliverable contains verifiable, reproducible defects that prevent it from conforming materially to the agreed specifications, the Client must provide written notice detailing the non-conformities before the expiration of the review period. IA Webtech will remediate the defects promptly at zero additional cost.
  • If no written defect notice is received within the designated review period, or if the Client deploys the deliverable to a production environment or utilizes it for commercial operations, the milestone shall be deemed irrevocably accepted.

5.3 Client Cooperation & Project Dependencies

  • Custom engineering delivery timelines depend on timely Client cooperation, including provision of design assets, third-party API credentials, legacy system access, and prompt milestone feedback.
  • If project progress is delayed for more than thirty (30) consecutive calendar days due to Client inaction, failure to provide necessary assets, or unapproved freezes, IA Webtech reserves the right to place the project on administrative hold and invoice for all work completed and engineering capacity reserved to date.

5.4 Engineering Deposits & Advance Retainers

Project commencement deposits and sprint retainers secure dedicated technical architecture, senior engineering capacity, and staging cloud infrastructure. Consequently, commencement deposits are strictly non-refundable once technical work or architectural discovery has initiated.

6. Service Level Agreements (SLA), Maintenance & Warranty

6.1 SaaS Platform Uptime SLA

IA Webtech targets a 99.9% uptime availability for production SaaS platforms during each calendar month, measured across our primary cloud hosting infrastructure. Uptime calculations exclude:

  • Scheduled maintenance windows communicated at least 48 hours in advance;
  • Outages caused by upstream public cloud providers (e.g., AWS, Google Cloud, DigitalOcean) or global Internet routing failures beyond our direct control;
  • Client-side network issues, firewall restrictions, or local hardware malfunctions.

6.2 Technical Support Tiers & Incident Response Times

Enterprise support tickets are prioritized based on operational severity:

  • Severity 1 (Critical Outage / Platform Down): Target response within 2 hours; continuous engineering efforts until service restoration.
  • Severity 2 (Major Feature Impairment): Target response within 4 business hours.
  • Severity 3 (Minor Operational Issue): Target response within 1 business day.
  • Severity 4 (General Inquiries & Feature Requests): Target response within 2 business days.

6.3 Custom Engineering Warranty & Defect Remediation

  • Custom software deliverables include a post-deployment warranty period (standard 30 to 90 calendar days as specified in the governing SOW).
  • During the warranty period, IA Webtech will correct any verifiable defects or deviations from approved specifications at no additional cost.
  • Warranty coverage provides technical remediation and code fixes; it does not constitute grounds for cash refunds or retroactive billing reductions.
  • Warranty coverage becomes null and void if the deliverable is modified, altered, or refactored by the Client or a third party without IA Webtech’s written approval.

7. Payment Gateway Integration, Invoicing & Commercial Terms

These financial terms govern all transactions processed via our website, payment gateways, and banking rails.

7.1 Authorized Payment Gateways & PCI-DSS Security

  • All electronic payments for SaaS subscriptions, digital licenses, and engineering invoices are processed through RBI-authorized, PCI-DSS Level 1 certified payment aggregators (including Razorpay, Stripe, CCAvenue, Cashfree, and PayPal).
  • IA Webtech never stores, processes, or retains sensitive cardholder data (such as full card numbers, CVVs, or banking PINs) on its servers. All payment transactions utilize bank-grade TLS 1.3 encryption and comply with Reserve Bank of India (RBI) directives on Two-Factor Authentication (2FA) and tokenization.

7.2 Currency, Invoicing & Taxation

  • All fees are quoted and billed in the currency stated on the applicable invoice, order form, or checkout portal (typically INR for domestic transactions and USD/EUR for international cross-border transactions).
  • All fees are exclusive of applicable statutory taxes. For Indian clients, Goods and Services Tax (GST @ 18%) will be added to the invoice in compliance with Indian tax law. For cross-border transactions, services are delivered as an export of IT/ITES software services in compliance with the Foreign Exchange Management Act (FEMA).
  • Milestone invoices and consulting retainers are payable within the net terms stated on the invoice (standard 7 to 15 calendar days from invoice date).

7.3 Late Payments & Service Suspension

  • Any invoice remaining unpaid past the due date shall accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower) calculated daily from the due date until paid in full.
  • In the event of an account remaining overdue for more than fourteen (14) calendar days, IA Webtech reserves the right, without liability, to suspend cloud SaaS access, revoke API tokens, and pause active engineering sprints until all outstanding balances and accrued interest are settled.

7.4 Prohibition of Unauthorized Chargebacks

Clients agree to resolve all billing inquiries, duplicate charge concerns, or invoice disputes in good faith by contacting billing@iawebtech.com within fourteen (14) calendar days of the transaction date. You expressly agree not to initiate unilateral chargebacks or payment reversals through your bank, credit card issuer, or payment gateway without first exhausting our formal dispute resolution process. In the event of an unauthorized or fraudulent chargeback, IA Webtech reserves the right to immediately terminate all services, report the incident to credit bureaus, and pursue legal remedies to recover the disputed amount along with legal fees and administrative costs.

8. Intellectual Property Rights & Ownership

8.1 IA Webtech Proprietary Assets

IA Webtech retains all right, title, and interest (including all patents, copyrights, trade secrets, trademarks, and database rights) in and to:

  • Our SaaS platforms (BolkarBIZ, IA BizSoft, eSchool, Laundry ERP) and all underlying software, APIs, source code, UI designs, and documentation;
  • All pre-existing software, development frameworks, modular libraries, algorithmic models, deployment tooling, and architectural blueprints developed or owned by IA Webtech prior to or independently of any specific SOW (“Background IP”).

8.2 Bespoke Deliverables & IP Transfer

Upon full, final, and unconditional settlement of all fees and milestone invoices associated with an executed SOW, IA Webtech assigns and transfers to the Client all right, title, and interest in and to the custom-developed source code, graphic designs, and technical deliverables created exclusively for the Client under that SOW (“Foreground IP”). To the extent that Background IP is incorporated into Foreground IP deliverables, IA Webtech grants the Client a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, execute, and modify such Background IP solely as embedded within the deliverable.

9. Confidentiality & Mutual Non-Disclosure (NDA)

9.1 Definition of Confidential Information

“Confidential Information” encompasses all non-public technical, commercial, financial, operational, and architectural information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”), whether verbally, in writing, or electronically, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

9.2 Protection Obligations

The Receiving Party agrees to:

  • Hold the Disclosing Party’s Confidential Information in strict confidence, exercising at least the same degree of care it uses to protect its own confidential information of like importance, and never less than reasonable care;
  • Use Confidential Information solely to perform obligations or exercise rights under this Agreement or the applicable SOW;
  • Restrict disclosure of Confidential Information strictly to its employees, contractors, and legal/financial advisors who have a verifiable need to know and are bound by confidentiality obligations at least as restrictive as those herein.

9.3 Duration

Confidentiality obligations shall remain in effect during the term of engagement and for a period of three (3) years following termination. Trade secrets, proprietary source code, and cryptographic schemas shall remain confidential in perpetuity.

10. Data Protection & Privacy

IA Webtech processes personal and business data strictly in accordance with applicable data protection legislation, including the Digital Personal Data Protection Act, 2023 (DPDPA) and the Information Technology Act, 2000. For comprehensive details regarding data processing roles (Data Controller vs. Data Processor), security safeguards, encryption standards, and data subject rights, please refer to our full Privacy Policy, which is incorporated by reference into these Terms.

11. Limitation of Liability & Disclaimers

11.1 Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED IN AN EXECUTED SOW OR SLA, ALL SAAS PLATFORMS, APIS, AND DIGITAL DELIVERABLES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. IA WEBTECH EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IA WEBTECH, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, WORK STOPPAGE, SYSTEM OUTAGES, OR COST OF REPLACEMENT SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Liability Cap

IA WEBTECH’S MAXIMUM TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, ANY SOW, OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO IA WEBTECH IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR, IN THE CASE OF CUSTOM ENGINEERING SERVICES, THE SPECIFIC MILESTONE FEE DIRECTLY UNDER DISPUTE).

12. Indemnification

You agree to defend, indemnify, and hold harmless IA Webtech, its officers, directors, employees, and contractors from and against any claims, liabilities, losses, damages, judgments, and expenses (including reasonable attorney fees) arising out of or related to:

  • Your breach of any provision of these Terms or applicable SOW;
  • Your unlawful use of our SaaS platforms or violation of the Acceptable Use restrictions;
  • Any claim that data, specifications, or materials supplied by you to IA Webtech infringe upon or misappropriate the intellectual property or privacy rights of any third party.

13. Term, Suspension & Termination

13.1 Term

These Terms remain in full effect for the duration of any active SaaS subscription, custom engineering SOW, or while you maintain an active account with IA Webtech.

13.2 Suspension of Service

IA Webtech may immediately suspend your access to any SaaS platform or engineering portal without prior notice if: (a) you fail to pay fees when due; (b) your account activity poses a security threat or attacks our infrastructure; or (c) we reasonably suspect fraudulent or illegal conduct.

13.3 Termination for Cause

Either party may terminate an SOW or these Terms immediately upon written notice if the other party commits a material breach of this Agreement and fails to cure such breach within thirty (30) calendar days of receiving written notice thereof (or ten (10) days in the case of non-payment).

13.4 Post-Termination Data Retention

Upon termination of a SaaS subscription, your operational database partition is preserved for thirty (30) calendar days to allow data export. Following this grace period, tenant data is permanently and irreversibly purged from our production databases in accordance with our data hygiene protocols.

14. Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations (other than monetary payment obligations) caused by events beyond its reasonable control, including acts of God, earthquakes, floods, fires, epidemics, armed hostilities, terrorist acts, civil unrest, nationwide power failures, Internet backbone disruptions, cyberwarfare, or governmental trade restrictions.

15. Governing Law & Dispute Resolution

15.1 Governing Law

This Agreement, all Statements of Work, and all disputes arising out of or related to our services shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles.

15.2 Dispute Resolution & Jurisdiction

The parties agree to attempt in good faith to resolve any dispute through senior executive negotiations for a period of thirty (30) days following written notice. If the dispute is not resolved amicably:

  • The dispute shall be subject to the exclusive jurisdiction of the competent courts located in Gurugram, Haryana, India; or
  • If mutually agreed in writing, the dispute may be referred to binding arbitration conducted in Gurugram, Haryana, India, in accordance with the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties. Arbitration proceedings shall be conducted in the English language.
