IA Webtech - Terms and Conditions

1. Acceptance of Terms

By accessing, browsing, or using the IA Webtech website (iawebtech.com), our custom development services, or subscribing to our SaaS ERP systems (Business ERP, Laundry ERP, School/Institute ERP), you ("User," "Client," or "Subscriber") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use our services.

2. Services Offered

IA Webtech provides the following services:

 * Custom Website Development: Design, development, and maintenance of custom websites.

 * Custom Software Development: Development of bespoke software solutions tailored to client requirements.

 * Business Tools Development: Creation of specific business tools and applications.

 * SaaS ERP Systems: Subscription-based access to our Business ERP, Laundry ERP, and School/Institute ERP systems.

3. SaaS ERP Subscriptions

 * Subscription Plans: IA Webtech offers monthly and annual subscription plans for its ERP systems. Details of the plans, including features and pricing, are available on our website.

 * Subscription Fees: Subscribers agree to pay the applicable subscription fees as per the chosen plan. Fees are non-refundable except as expressly stated in our refund policy.

 * Payment: Payments can be made through the payment methods specified on our website. Subscribers are responsible for providing accurate billing information.

 * Renewal: Subscriptions will automatically renew unless cancelled by the Subscriber before the renewal date.

 * Termination: IA Webtech reserves the right to terminate a subscription for violation of these Terms or non-payment of fees.

 * Data Storage: IA Webtech will store Subscriber data on its servers. We will take reasonable measures to ensure data security and integrity. However, Subscribers are responsible for backing up their data.

 * Service Availability: While we strive for 99.9% uptime, we do not guarantee uninterrupted access to our ERP systems. We will provide reasonable notice of scheduled maintenance.

4. Custom Development Services

 * Project Scope: The scope of custom development projects will be defined in a separate project agreement or statement of work (SOW).

 * Client Responsibilities: Clients are responsible for providing accurate and timely information, feedback, and approvals as required for the project.

 * Intellectual Property: Upon full payment, the Client will own the intellectual property rights to the custom-developed software or website, unless otherwise specified in the project agreement. IA Webtech retains the right to use general knowlege gained during the project.

 * Payment Terms: Payment terms for custom development projects will be specified in the project agreement.

 * Warranty: IA Webtech provides a limited warranty for custom-developed software or websites for a specified period after delivery, as defined in the project agreement.

5. User Obligations

 * Account Security: Subscribers are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

 * Prohibited Conduct: Users must not use our services for any illegal or unauthorized purpose, including but not limited to:

   * Distributing malware or viruses.

   * Engaging in spamming or phishing.

   * Violating intellectual property rights.

   * Uploading or transmitting offensive or inappropriate content.

 * Data Accuracy: Users are responsible for ensuring the accuracy and completeness of the data they enter into our systems.

6. Intellectual Property

 * IA Webtech IP: All intellectual property rights in our website, software, and ERP systems, including trademarks, copyrights, and patents, are owned by IA Webtech.

 * User Content: Users retain ownership of their content. By using our services, Users grant IA Webtech a non-exclusive, royalty-free license to use their content for the purpose of providing the services.

7. Limitation of Liability

 * IA Webtech will not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.

 * Our liability for any direct damages will be limited to the amount paid by the User for the services.

 * IA Webtech is not responsible for data loss. Users are responsible for their own backups.

8. Disclaimer of Warranties

 * Our services are provided "as is" and "as available" without any warranties, express or implied.

 * IA Webtech does not warrant that our services will be error-free or uninterrupted.

9. Indemnification

 * Users agree to indemnify and hold IA Webtech harmless from any claims, damages, or expenses arising from their use of our services or their violation of these Terms.

10. Confidentiality

 * Both parties agree to maintain the confidentiality of any confidential information shared during the course of the relationship.

11. Modifications to Terms

 * IA Webtech reserves the right to modify these Terms at any time. Changes will be posted on our website. Users are responsible for reviewing these Terms periodically.

12. Governing Law and Dispute Resolution

 * These Terms are governed by the laws of India.

 * Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana.

13. Refund Policy

 * Our refund policy for SaaS subscriptions and custom development projects will be clearly stated on our website or in the project agreement.

15. Severability

 * Service Level Agreements (SLAs): Consider adding SLAs for your SaaS offerings to define uptime guarantees and support response times.

 * Termination Clauses: Clearly define the conditions under which you or the client can terminate a service agreement.

 * Force Majeure: Include a clause addressing events beyond your control (e.g., natural disasters, cyberattacks).
